South Bay Club is currently addressing two overlapping issues.

 

First, the building must complete significant structural, life‑safety, and electrical repairs required under Florida law. These obligations are the result of the building’s age and prior funding decisions that deferred reserve contributions, a common approach in many older condominiums. The approved Special Assessment is part of meeting these legal requirements, and the Board is working to fund the work in accordance with applicable rules and professional guidance.

Second, because South Bay Club is located on valuable waterfront land, a developer has expressed interest in the property for potential redevelopment. That interest exists independently of the required repair work, but the two issues are often discussed at the same time, which can create confusion about timing and outcomes.

Owners should also understand how legal protections may apply if a developer gains significant ownership or control. Under Florida law, certain statutory provisions — sometimes called Kaufman-style protections — can give owners additional rights even after overall approval thresholds for large actions have been met. These protections are designed to prevent condominium termination from proceeding without genuinely broad owner support and can provide remaining owners with additional leverage and time.

Whether these protections apply at South Bay Club is not automatic. Their applicability may depend on how the law is interpreted, whether specific conditions are met, and whether the protections remain in effect at the time a decision is made. If they do not apply, termination generally proceeds under standard statutory thresholds and the Association's governing documents, which require only 80%. Owners are encouraged to consult their own legal counsel to understand which protections currently apply and under what circumstances they could change.


Because of this, outcomes depend not only on whether redevelopment is pursued, but also on how ownership levels, governance control, voting rights, and legal protections evolve over time. Long before any final vote could occur, a simple majority of ownership can influence who governs the Association and how future decisions are structured. For that reason, elections, voting authority, and timing matter even for owners who are undecided or simply wish to preserve flexibility.

Entering into an early purchase agreement may involve risks, including changes in leverage, uncertainty around timing, and financial obligations that may continue regardless of whether a sale ultimately closes.

 

Both renovation and redevelopment remain possible outcomes, and neither is automatic.
